Corporation Signature Block

 

This is a form signature block to be inserted relative to a party to an agreement that is a legally organized corporation.  This signature block requires the signature of a corporate officer, usually the president.  It requires two witnesses to the signature.  The witnesses should not be the corporate officer signing the agreement or the corporate secretary who attests to the agreement.  The signature block also calls for the attestation of the corporate secretary.  You should assure that the corporate officers have the authority under all necessary corporate actions to sign the agreement.  A form of corporate authorization to enter into an agreement is included in the package.

 

  1. [PARTY NAME] – Insert the defined term for the name of the company as it appears in the document.  Look at the first paragraph of the agreement to ascertain this name.  For example, the company may be defined as “Consultant” “Client” “Customer” “Owner” “Employer” or other defined name.
  2. [Name of Company] - Insert the exact legal name of the Corporation exactly as it appears on the Articles of Incorporation of the Corporation.  Note that this exact legal name should also be used in the first paragraph of the Agreement.
  3. [State] – Insert the name of the State where the company is incorporated.  For example, “A Delaware corporation.”
  4. [Corporate Office] – Insert the title of the corporate officer signing the agreement.  For example, “President” “Assistant Secretary” or other corporate office.
  5. [Print Name] – Full legal name of individual.
  6. [Signature] – Self explanatory.
  7. [Witnesses] – Agreement calls for two independent witnesses to sign.  These individuals should observe the corporate officer actually sign the agreement.  These witnesses should not be the officer who is signing the agreement or the secretary who is attesting the agreement.
  8. [Secretary Attestation] – Should be signed by the corporate secretary and his or her individual name should be printed
