Copyright Assignment Confirmation Notification
This Copyright Assignment Confirmation Notifications (“Confirmation”) is given this _____ day of _________________, 20___ by ___________________________ (hereinafter “Assignor”) in order to confirm a previous assignment of a copyright to _________________________ (the “Assignee”).
NOW THEREFORE, the Assignee hereby make the following representations and warranties which it intends for any third party to rely upon:
1. The Assignee represents and warrants that is has assigned all right, title and interest in and to a certain original [Portions Omitted - included In fully Licensed Version]particularly described in Exhibit “A” attached hereto and made a part hereof (the “Work”) to the Assignee.
2. The assignment of the Work as aforesaid, was accomplished by execution and delivery of a true and lawful Assignment of Copyright, a copy of which is attached hereto as Exhibit “B.”
3. Whereas, the Assignment of Copyright was duly authorized and validly executed and constitutes a valid assignment of [Portions Omitted - included In fully Licensed Version] in and to such Work.
4. The Assignment of Copyright is biding upon the successors and assigns of the Assignee and assigns all rights to the [Portions Omitted - included In fully Licensed Version] Copyright Law along with any renewal rights afforded thereunder.
5. Assignee has bee granted a perpetual, royalty free, fully assignable and transferable, world wide license [Portions Omitted - included In fully Licensed Version]o the Work and there are no other pre-existing works integrated into the Work except for those that have been duly and validly licensed to the Assignee. Licenses to pre-existing works include all of the exclusive rights of the original copy [Portions Omitted - included In fully Licensed Version]ute, display, publicly perform and create derivative works based upon the original pre-existing work.
6. At the time of the Assignment, Assignor has full, unencumbered legal right to make such assignment of the Work and the [Portions Omitted - included In fully Licensed Version]legal restriction, or any other matter that would in any way conflict with or adversely effect the value of the Work.
IN WITNESS WHEREOF, Assignor executes this document with full knowledge of its contents and significance.
