_________________ ("Author') represents and warrants that it is the owner of the copyright in the work described as: ______________________, a copy of which is attached hereto as Exhibit “A”  (the "Authored Work") and that the Author has registered the Authored Work United States Copyright  Office and that the [Portions Omitted - included In fully Licensed Version] Copyright Registration No. ______________.   The Author represents and warrants that the Authored Work was created solely by the Author without the involvement of any other party and that the Author has the all right, title and [Portions Omitted - included In fully Licensed Version] and full an unrestricted power and authority to assign the rights in and to the Authored Work as provided in this Assignment.

For good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Author hereby unconditionally [Portions Omitted - included In fully Licensed Version] and assigns to __________________  ("Assignee") all rights, title, and interest in and to the copyright in the Authored Work together with all [Portions Omitted - included In fully Licensed Version] granted to the owner of a Copyright under the United States copyright laws, including but not limited to the unlimited and [Portions Omitted - included In fully Licensed Version] on the Authored Work, publicly display, publicly, and to transmit the Authored Work digitally or by any other  means.

      The Author understands and agrees that following this assignment that the Assignee will be the exclusive owner in and to the [Portions Omitted - included In fully Licensed Version] any acts with respect to the Authored Work that will violate the Assignee’s exclusive rights as the true and lawful owner of the copyright in and to the Authored Work.

EXPLANATION OF THIS DOCUMENT

This document assigns the copyright in and to an item that has been created by a party (i.e. a web page developer or programmer) to the customer.  This document takes away any right of the author to use the work following the assignment.  Caution should be taken if the work has previously been integrated into another work by the author as that work may infringe upon the rights being conveyed in this document.

Normally it is not in the interest of the author to convey the entire copyright.  Generally, the developer will retain the copyright and license the use of the content to the customer subject to the terms and conditions of the license.  However, some clients will insist that they be assigned the copyright to the work.  Oftentimes the copyright will be conveyed under a “work for hire” provision in the development contract.  However, the work for hire provision will generally not be effective to convey rights to materials that were previously developed and which were not specifically developed in connection with the current development project.  This form can be used to convey the copyrights to previously developed materials that would not be included within a work for hire provision.  This form can also be used to transfer the copyright to the entire work in the absence of a work for hire clause.
