The following is an outline procedures for a Company to follow in assessing intellectual property rights and devising a plan for protecting the intellectual property rights from exploitation by others against the interests of the Corporation.

ARTICLE I - WHAT IS INTELLECTUAL PROPERTY?

1.1 Intellectual property includes:

1. Copyrights

2. Trademarks and Service Marks

3. Trade Secrets

4. Patents

5. Confidential Information

6. All other information and materials that the company considers to be of strategic and competitive importance.

1.2 The Company will need to develop a program whereby such Intellectual Property is protected.
